An MTA is a legally binding contract outlining the terms under which genetic resources are transferred from one party to another.

Purpose:

  • To define the rights and obligations of parties involved in the transfer of genetic resources.
  • To track the destination and intended use of the resources.
  • To ensure benefit-sharing arrangements are in place.

Key Components of an MTA:

  • Parties Involved: Identifies the applicant, resource owner, and relevant regulatory authorities (e.g., UNCST).
  • Description of the Resource: Specifies the genetic material, including its species, quantities, and collection location.
  • Intended Use: Details the purpose of resource use (e.g., research, bioprospecting, or commercialization).
  • Benefit-Sharing Arrangements: Includes commitments for monetary or non-monetary benefits (e.g., royalties, technology transfer, capacity building).
  • Ownership of Derivatives: Outlines ownership and rights over the derivatives and products resulting from the genetic resources.
  • Restrictions and Limitations: Specify any restrictions on the use, transfer, or commercialization of the resources.
  • Termination and Renewal: Defines the duration of the agreement and processes for renegotiation or renewal.

Material Transfer Agreement (MTA)

Legal Mandate:

  • MTAs are mandatory before obtaining an Access Permit from the Uganda National Council for Science and Technology (UNCST).
  • Governed by Ugandan laws, ensuring compliance with national and international biodiversity regulations.
  • Monitoring and Reporting:
  • MTAs include obligations for the applicant to report on the use of resources and share research findings or commercial benefits as agreed.

These two elements—PIC and MTA—form the foundation of Uganda's Access and Benefit Sharing (ABS) regime, ensuring fairness, equity, and sustainability in the use of genetic resources.

Mutually agreed terms is an agreement reached between the provider of genetic resources and a user with respect to the conditions of
access to genetic resources in the provider country and the benefits to be shared between both parties, further to the commercial or other
use of these resources.
